Key Requirements for Company Incorporation
To register your business in Singapore, ensure you meet the following:
- Resident Director – At least one director must be a Singapore Citizen, Permanent Resident, or Employment/EntrePass holder. (Nominee director services are available.)
- Company Secretary – Must be appointed within six months of incorporation.
- Shareholders – A minimum of one and a maximum of 50. Foreigners can own 100% of the company.
- Paid-up Capital – Minimum of S$1 (can be increased later).
- Registered Address – A local Singapore address is required. (Virtual office services are available.)

Incorporation Process
- Choose a Company Name– Ensure availability and compliance with regulations.
- Prepare Required Documents – Company constitution, director and shareholder details, and KYC documents.
- Submit to ACRA – Registration typically takes 1–5 business days.

Post-Incorporation Compliance
After incorporation, businesses must meet ongoing compliance obligations:
- Annual Returns Filing – Submit updates to ACRA.
- Accounting & Financial Records – Maintain proper bookkeeping.
- Annual General Meetings (AGMs) – Required for certain companies.

Nominee Director Services
Foreign business owners who do not have a local director can engage nominee director services.
A nominee director:
- Meets Singapore’s legal requirements.
- Does not manage daily operations.
- May require read-only access to banking records for compliance.
Nominee directors must meet eligibility criteria, including financial soundness and a clean regulatory record. While nominee arrangements must be disclosed to ACRA, the nominator’s identity remains confidential.

- The minimum paid-up capital required is S$1, with no restrictions on future increases. Bearer shares are not allowed.
